Terms and Conditions

1. Who we are

These Terms and Conditions apply to this website and to the services offered by Blackwell group LLC (“Blackwell Group”, “we”, “us”), a limited liability company registered in the State of New Mexico, USA. Our contact details are on the Contact page and in the footer of every page.

2. Our services

We provide outbound business-to-business appointment setting: we contact companies by phone on behalf of a client and book meetings with decision-makers.

We provide services only under a written service agreement signed with each client. Nothing on this website is an offer that can be accepted. The agreement sets the scope, the target profile, the territory, the qualification criteria and the fees.

3. No guarantee of results

We commit to carrying out the work described in the agreement with due care. We do not guarantee sales, revenue, contracts or a specific number of meetings. Presenting offers, negotiating and closing remain the client’s responsibility.

4. Client responsibilities

Each client agrees to provide accurate information about its business and its ideal customer profile; to review and approve the call script before calls start, and to approve in writing any later change to the commercial claims it contains; to keep calendar availability for the meetings we book; to provide an exclusion list of companies we must not contact; and to name a contact person for day-to-day communication.

5. Fees and invoicing

Fees are charged for each qualified meeting that takes place, at the price set in the agreement. We invoice monthly, in arrears, for the meetings held in the previous month. Currency, payment deadline and payment method are stated in the agreement. Prices exclude taxes unless the agreement says otherwise.

6. Qualified meetings and disputes

A meeting is billable when it takes place and meets the qualification criteria in the agreement. If a client believes a meeting does not meet them, it may raise the issue in writing within the review period stated in the agreement. If we agree, or if the criteria are not met, the meeting is not billable.

We keep records of the contacts that lead to each meeting and provide them on request to help resolve a dispute.

7. Compliance and data protection

Each party complies with the laws that apply to its activity, including data protection law and the rules on commercial telephone contact. Where we handle personal data for a client, we do so only on the client’s instructions and under the data processing terms in the agreement. We respect the client’s exclusion list and any request from a contacted person not to be contacted again.

8. Confidentiality

Each party keeps the other’s confidential information private and uses it only to carry out the agreement. This duty continues for the period stated in the agreement after it ends.

9. Intellectual property

The content of this website, including its text, design and the Blackwell Group name and wordmark, belongs to us. A client’s brand, materials and data remain the client’s, and we use a client’s brand only to perform the services.

10. Website and privacy

This website has no forms, accounts or advertising, and we do not use analytics or tracking cookies. How we handle personal data is explained in our Privacy Policy.

11. Limitation of liability

The website is provided as is. To the extent the law allows, our liability to a client is limited as set out in the agreement, and we are not liable for indirect or consequential losses, including lost sales or profit.

12. Term and termination

The term of each engagement and the ways to end it are set out in the agreement.

13. Governing law

These website terms are governed by the laws of the State of New Mexico, USA. Each service agreement states its own governing law and courts.

14. Changes to these terms

We may update these terms. The date at the top shows the latest version. Changes do not alter an agreement that has already been signed.
